The Charities Act 2011 contains provisions which enable an existing charitable company to convert to a CIO. However, further regulations need to be made to complete the legal framework to allow a charitable company to convert to a CIO.
These regulations will be separate from the General and Dissolution regulations and will be made by the Office for Civil Society. We will update this page when there is further information about these regulations.
Although the regulations have not been made yet, we know from the Charities Act 2011 that the process will be relatively straightforward. The existing corporate body will simply be re-registered as a CIO with a new constitution. The conversion process will not affect the legal personality of the organisation or its business relationships.
